Membership agreement

About the terms

This Membership Agreement covers your membership in the i3mphotostock.com community and your being granted access to the members areas of i3mphotostock.com. Access to and use of i3mphotostock.com ("the site") is provided by the i3m Limited ("i3m"), a company registered in England and Wales. This Membership Agreement is in addition to the terms and conditions for i3mphotostock.com

1. access to and use of the membership areas of i3mphotostock.com are provided to you by i3m on condition that you agree to and accept the both the Terms and Conditions of i3mphotostock.com and this Membership Agreement. By accessing and using the membership areas of i3mphotostock.com, you agree to the Terms and Conditions and this Membership Agreement. If you do not agree to accept and abide by this Membership Agreement and the Terms and Conditions, you should not access i3mphotostock.com and/or use the membership areas therein. In the event of any inconsistency between the Membership Agreement and the Terms and Conditions, the terms of this Membership Agreement shall govern.

2. the membership agreement may be changed by i3m from time to time and so you should check these terms regularly. Your continued use of membership areas of i3mphotostock.com will be deemed acceptance of the updated or amended terms. If you do not agree to the changes, you should cease using this website.

Purchase credits

3. purchase credits are purchased from your account dashboard page, which is displayed to you on arriving in the membership area of i3mphotostock.com. Purchasing credits online is securely handled by Paypal Inc who facilitate transactions with VISA, MasterCard, American Express or PayPal. No personal financial information is stored by i3m.

4. the relative cost of Purchase Credits procured for use on i3mphotostock.com is determined by i3mphotostock.com at the time of your purchase. Upon presentation of credit card information the purchaser warrants that they are the cardholder and that the information provided is accurate. By approving the purchase of the product or service, you authorise i3m to make a charge the designated credit card, or PayPal account, for the total amount of the purchase.

Use of content

5. you acknowledge that i3mphotostock.com contains or may contain information, software, photographs, illustrations, data files, code and other material ("Content") which is protected by copyright, trademark or other proprietary rights of i3m, its affiliates or other third parties (including other members).

Contributions to i3mphotostock.com

6. you may not modify, publish, transmit, transfer or sell, reproduce, create derivative works from, distribute, perform, display, reverse engineer or in any way exploit any of the Content, in whole or in part, except as otherwise expressly permitted in this Membership Agreement and any other agreement entered into at the time such content was downloaded (such as a Content License Agreement).

7. content is provided to the site through members entering into an artist's supply agreement, either on an exclusive or non-exclusive basis (each, a "Supply Agreement"). Subject to the provisions of the applicable Supply Agreement, you may post on the Site any Content owned wholly by you. You may download content only in accordance with the terms of this membership agreement and the then applicable content license agreement.

Passwords

8. Access to the membership area is via your user name identification ("User Name"), which you tender when agreeing to the Membership Terms of i3mphotostock.com. You acknowledge and agree that these are provided so that you may access and utilise the membership areas of the Site and the password selected by and used by you in conjunction with your User Name are to be kept secret and confidential. You agree that you shall not disclose your User Name or password to any other party without the express written permission of i3m.

9. You acknowledge and agree that you are responsible for every access or use of the membership areas of i3mphotostock.com that occur in conjunction with your User Name and password and that i3m is authorised to accept your User Name and password as conclusive evidence that you have accessed or utilised the membership areas of i3mphotostock.com. You acknowledge that such password(s) are unique and only known to you and that, although i3m does have the ability to require password(s) meet certain requirements (such as a minimum or maximum number of characters) and to reset such password(s), i3m does not have the ability to access the password(s) themselves.

Management of content

10. The review of all communications or Content uploaded to i3mphotostock.com is not possible and i3m is not responsible for the content of such communications or Content. i3m reserves the right to delete, move or edit any communication or Content that it may determine, in its sole discretion, violates or may violate this Membership Agreement or is otherwise unacceptable. You shall remain solely responsible for all communications made or Content uploaded under your Member Name. i3m shall have the right but not the obligation to correct any errors or omissions in any Content, as it may determine in its sole discretion. You acknowledge that any screening of Content performed by i3m to determine Accepted Content is done as a courtesy only.

Indemnity

11. i3m respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide i3m with notice of such infringement.

Membership agreement term and termination

12. you may terminate this Membership Agreement at any time by email or by such other means of written notice acceptable to i3m which enables confirmation of your identity and your intention to terminate. i3m reserves the right, in its sole discretion, to restrict, suspend or terminate your right to access the Membership Areas of i3mphotostock.com at any time for any reason without prior notice or liability. i3m may change, suspend or discontinue all or any aspect of the Site at any time, including the availability of any feature, database, or Content, without prior notice or liability.

13. you agree to use i3mphotostock.com communities (including message boards) in accordance with the following Community Rules:

14. i3m may also terminate or suspend your access to the Membership Areas of i3mphotostock.com for inactivity, which is defined as failing to access the Membership Areas of the Site for an extended period of time, as reasonably determined by i3m.

15. termination of this Membership Agreement does not relieve you of your liability to monies owed to i3m under this Membership Agreement or your obligations to not use the Membership Areas of the Site or any Content other than in the manner permitted under this Membership Agreement or any other agreement entered into at the time such Content was downloaded (such as a Content License Agreement). Termination of this Membership Agreement shall operate without prejudice to the i3m's rights, defences and limitations of liability provided under this Membership Agreement, which rights, defences and limitations of liability shall survive termination of this membership agreement.

16. upon termination of your access to the membership portions of the Site, you agree to forfeit all download credits remaining in your account.

Age and responsibilities

17. you represent and warrant that you are of sufficient legal age to use the Site and to create binding legal obligations for any liability you may incur as a result of the use of i3mphotostock.com. You agree to be responsible for all of your use of the Site (as well as for use of your Member Name and password(s) by others, including without limitation, minors living with you). You agree to supervise all usage by minors of the site under your name or account.

Applicable law

18. the Site is controlled, operated and administered by i3m Limited. a company registered in the United Kingdom (UK). The site can be accessed from the UK, as well as from other countries around the world. As each of these jurisdictions has laws that may differ from those of the UK, by accessing the Site, you acknowledge and agree that this Membership Agreement will be governed under the laws of England and Wales applicable therein (without reference to conflicts of laws principles). You hereby irrevocably submit to the exclusive jurisdiction of the Courts of the United Kingdom with respect to the subject matter of this Membership Agreement. This Membership Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.

19. you consent to service of any required notice or process upon you by email, registered mail or overnight courier with proof of delivery notice, addressed to the address or contact information provided by you at the time you are first granted access to the membership portions of the Site, or such other address as you may advise us in writing to use, from time to time.

20. if i3m is obligated to go to court, rather than arbitration, to enforce any of its rights, or to collect any fees, you agree to reimburse i3m for its legal fees, costs and disbursements if i3m is successful.

Data protection act

21. under the Data Protection Act you have the right to request a copy of the personal information that i3m holds about you and to have any inaccuracies corrected. There is a charge of £25 for such information requests and for security reasons you are required to prove your identity with 2 pieces of approved photographic identification. We will use reasonable efforts to supply, correct or delete personal information about you on our files.

22. as a member of i3m you agree and acknowledge that you have read and understand this membership agreement and that you agree to be bound by its terms and conditions
